What is the purpose of this role in the delivery of our mission?
The Head of Financial Control and Management Board Member owns the finance function for Pay Perform OÜ (our Estonian entity) as we prepare for MiCA CASP and EMI authorisation with the EFSA. The role combines hands-on ownership of financial reporting, regulatory finance, and safeguarding with a formal seat on the PPOÜ Management Board (juhatus) and collective responsibility under Estonian law. While PPOÜ is your primary accountability, you will also contribute to group-wide financial governance across Orbital’s UK, Gibraltar and Estonia entities.
This is a dual-hat role by design. At function level, you are the senior accountable owner of finance for Pay Perform OÜ, and a senior voice in group financial governance. At board level, you share collective responsibility with other Management Board members for the company’s strategic direction, governance, and regulatory relationships - with a natural leading voice on financial matters. The role works directly with the EFSA, the Group CFO, and the wider Orbital leadership team.
What are the key responsibilities / activities of the role?
Financial Reporting & Controls
Own end-to-end financial reporting, month-end close, and the control environment for Pay Perform OÜ under Estonian GAAP, with IFRS overlays for group consolidation.
Lead preparation of statutory accounts and manage the external auditor relationship from planning through sign-off.
Design and operate the internal control framework over financial reporting, including segregation of duties, review layers, and reconciliation discipline.
Support group consolidation, intercompany reconciliations, and transfer-pricing documentation across UK, Gibraltar, and Estonia entities.
Led automation initiatives to accelerate the pace of delivery of the above workstreams using AI & agents
Regulatory Finance, Capital & Prudential Reporting
Lead all regulatory financial reporting to the EFSA, including own funds, prudential returns and capital-adequacy reporting required under MiCA and EMD2-equivalent requirements.
Own ICAAP financial inputs and capital planning, including stress testing and capital buffers proportionate to the firm’s risk profile.
Monitor and implement changes in Estonian and EU regulatory reporting expectations, with direct interaction with the EFSA on financial matters.
Client Funds Safeguarding & Asset Segregation
Design and operate the safeguarding framework for client funds consistent with EMD2 principles, including daily reconciliations, independent checks, and annual audit attestation.
Design and operate the segregation framework for client crypto-assets in line with MiCA Title IV, including on-chain reconciliation and evidence of segregation from firm assets.
Own the written safeguarding and asset segregation policies and ensure they are tested, documented, and demonstrable to auditors and the EFSA.
Monitor liquidity and banking partner concentration for the safeguarding account structure; maintain robust banking relationships in Estonia and the wider EU.
Partner with Risk and Operations to integrate safeguarding controls into day-to-day operational processes and crypto-asset custody workflows.
Treasury, Tax & Audit
Manage treasury operations: float management, FX exposure, liquidity planning, and bank relationships in Estonia and across the group.
Own Estonian corporate tax compliance, withholding tax, VAT, and the group transfer-pricing interface.
Manage the external audit relationship end-to-end and any regulator-driven assurance work commissioned by the EFSA.
Board-Level Accountabilities (Management Board Member)
Serve as a Management Board member (juhatuse liige) of Pay Perform OÜ with collective responsibility under the Estonian Commercial Code for lawful, prudent and compliant operation of the company; contribute to board oversight of strategy, risk appetite, operational resilience and regulatory relationships - not only finance.
Uphold fit & proper standards on an ongoing basis (EFSA, ESMA and Commercial Code requirements); represent Pay Perform OÜ to the EFSA, external auditors, the Supervisory Board and other external stakeholders on financial matters.

What are the essential skills, qualifications and experience required for the role?
Based in Tallinn with full right to work in Estonia - this is a regulatory-substance hire and the role cannot be performed remotely or from elsewhere.
Qualified accountant (Vandeaudiitor, ACCA, CPA, ACA or equivalent) with 6+ years in financial management, including 3+ years at senior / manager level.
Minimum 3 years inside an Estonia-regulated financial institution (EMI, credit institution, VASP/CASP, or investment firm); direct experience interacting with the EFSA is strongly preferred.
Fluent working knowledge of Estonian GAAP and IFRS, plus demonstrable understanding of at least two of: EMD2/PSD2 safeguarding, CRR-style own funds, MiCA prudential requirements.
Clean fit & proper profile as required under the Estonian Commercial Code and the EFSA’s fit & proper assessment: no unspent convictions for economic, official or property offences; no regulatory sanctions; no pending proceedings; good repute.
Fluent English (group working language); professional-level Estonian strongly preferred.
What are the desirable skills, qualifications and experience that would be beneficial for the role?
Prior experience inside a crypto-asset service provider (VASP or CASP) or a firm with material digital-asset exposure.
Hands-on experience designing and testing client fund safeguarding or client asset segregation frameworks in a regulated context.
Experience on a live licence application, variation of permission, or material regulatory change, particularly with the EFSA.
Prior service on a regulated-entity management board (juhatus) or comparable governance body.
Familiarity with DLT/blockchain business models and the financial-reporting implications of on-chain asset custody.
Board-level breadth beyond your core specialism: demonstrable exposure at a regulated firm to adjacent domains the Management Board is collectively responsible for - such as finance, risk, operations, compliance, or technology and product governance - sufficient to contribute meaningfully to collective board oversight across areas outside your primary accountability.
Salary: Base salary of €45,000 – €60,000 per annum depending on experience, plus additional compensation for Board Management responsibilities.
